Terms of Service

Welcome to the Crimson website (the “Site”) and our AI-driven legal tech platform (the “Platform” or the “Services”). These Terms of Service (these “ToS”) govern your access to and use of the Site and the Services, except where a separate Master Service Agreement (“MSA”) has been signed between Crimson and your organization. If you or your organization have executed an MSA with Crimson, the MSA will control to the extent of any conflict with these ToS.

By accessing or using the Site or Services, you agree to be bound by these ToS. If you do not agree, you must discontinue use immediately.

1. Scope and Eligibility

1.1 Applicability

These ToS apply to all visitors, browsers and users of the Site and Services. If you are entering into these ToS on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity.

1.2 Age Requirement

You must be at least 18 years old (or of legal majority in your jurisdiction) to use the Site or Services.

2. Acceptable Use

You agree not to (i) use the Site or Services for any unlawful purpose; (ii) engage in fraudulent, misleading or unethical activities; (iii) reverse engineer, decompile or otherwise tamper with the Services; or (iv) violate any applicable local, state, national or international law in connection with your use of the Site or Services.

3. Relationship to the Master Service Agreement

3.1 MSA Precedence

If your organization has executed an MSA with Crimson, that agreement governs any paid subscription or custom services. These ToS apply only to the extent not addressed in the MSA.

3.2 Trial or Free Usage

Any free trial or beta access to the Services not covered by a specific MSA remains subject to these ToS.

4. Intellectual Property and Content

4.1 Ownership

Crimson or its licensors own all rights, title and interest in and to the Site, Services and associated intellectual property. You receive no ownership interest by accessing or using the Site or Services.

4.2 Licence to Use

Subject to these ToS, Crimson grants you a limited, non-exclusive, non-transferable licence to access and use the Site and any publicly available features of the Services for internal business or personal use only.

4.3 User Submissions

If you submit or post any content through the Site or Services (e.g. feedback or suggestions), you represent that you have the necessary rights to do so and grant Crimson a non-exclusive, worldwide license to use, copy, distribute and display that content solely for the purpose of providing the Services or improving the Site. You agree that we are free to use any content without any restriction or compensation to you.

5. Privacy and Data Protection

5.1 Privacy Policy

Crimson’s Privacy Policy describes how we collect, use, and protect personal data. By using the Site, you agree to the terms of the Privacy Policy.

5.2 Data Security

We take commercially reasonable steps to secure any data you submit through the Site, but you acknowledge that no system is completely secure. You are responsible for ensuring you keep your own data backups.

6. Disclaimers

The Site and Services are provided on an “as-is” and “as-available” basis, and Crimson disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Crimson shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or profits, arising out of or in connection with your use of the Site or Services.

8. Changes to the Site or Services

We reserve the right to modify or discontinue any part of the Site or Services at any time without notice.

9. Indemnification

You agree to indemnify, defend and hold harmless Crimson, its affiliates, officers, directors and employees from and against any claims, liabilities, damages, judgments, awards, losses or fees (including reasonable legal fees) resulting from your violation of these ToS or your misuse of the Site or Services.

10. Termination

10.1 By Crimson

We may suspend or terminate your access to the Site or Services if we reasonably believe you have violated these ToS or engaged in unlawful or improper use of the Site or Services.

10.2 By You

You may stop using the Site or Services at any time. If you have a paid subscription not covered by an MSA, your right to terminate will be governed by separate payment and cancellation policies described at the point of purchase.

10.3 Effect of Termination

Upon termination, all rights granted to you under these ToS immediately cease, and we may deactivate or delete your account and related information.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These ToS, and any dispute arising out of them, shall be governed by the laws of England and Wales, without regard to their conflict of law principles.

11.2 Arbitration

Any dispute arising from or relating to these ToS, including questions about their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the London Court of International Arbitration (“LCIA”) in accordance with the LCIA Rules, which are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be London, England. The arbitration proceedings shall be conducted in English, and the arbitrator may expedite the proceedings based on written submissions alone at their sole discretion if circumstances warrant. Nothing in this clause prevents any Party from seeking interim or injunctive relief in a court of competent jurisdiction to protect its rights or confidential information.

12. General Provisions

12.1 Entire Agreement

These ToS, together with any referenced policies (e.g., Privacy Policy), constitute the entire agreement between you and Crimson regarding your use of the Site or Services, unless superseded by a separate MSA.

12.2 Severability

If any provision of these ToS is held invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term of these ToS shall be deemed a further or continuing waiver of such term or any other term, and Crimson’s failure to assert any right under these ToS shall not constitute a waiver of such right.

12.4 Assignment

You may not assign or transfer these ToS without prior written consent from Crimson. Crimson may assign or transfer these ToS without restriction.

12.5 Notices

Any notices must be sent in writing (including email) to the contact information provided on our Site.

13. Prohibited Activities and Enforcement

You agree that you will not engage in any of the following activities:

1. Copying or Framing

Use, display, mirror, or frame the Site (or any part of it) without Crimson’s prior written permission. This includes Crimson’s name, trademark, logo, proprietary information, and any layout or design elements on the Site.

2. Unauthorized Access

Access, tamper with, or use any non-public areas of the Site or Crimson’s computer systems (including networks and delivery mechanisms) without explicit authorization.

3. Security Testing

Attempt to probe, scan, or test the vulnerability of the Site, or breach any security measures, authentication protocols, or protective features deployed by Crimson or its service providers.

4. Circumventing Protections

Bypass, remove, deactivate, or impair any security or technological system implemented by Crimson, its providers, or third parties to protect the Site or its users.

5. Automated Access

Access or search the Site, or download content from the Site, using automated methods such as spiders, robots or scraping tools (other than publicly available web browsers or search engines) unless expressly permitted in writing by Crimson.

6. Spamming or Solicitation

Send unsolicited or unauthorized advertising, promotional materials, email, spam, chain letters or any other solicitation through the Site or to its users.

7. Inappropriate Use of Crimson Trademarks

Use any meta tags, hidden text, or metadata referencing Crimson’s trademarks, logos, or product names without express written approval from Crimson.

8. Commercial Exploitation

Use the Site or any part thereof for commercial gain or the benefit of any third party beyond what is expressly permitted under these ToS.

9. False or Misleading Information

Forge headers, manipulate identifiers, or otherwise use the Site to transmit deceptive or false information regarding the origin of emails or postings.

10. Reverse Engineering

Attempt to decompile, decipher, disassemble, or reverse engineer any software or source code used in providing the Site or Services.

11. Interference

Interfere with or disrupt the Site’s functionality, servers, networks, or users (for example, by sending viruses, overloading, flooding, or mail-bombing).

12. Data Harvesting

Collect or store any personal data from other users of the Site without their express consent, or otherwise violate applicable privacy or data protection laws.

13. Impersonation

Impersonate any person or entity, or falsely claim or misrepresent an affiliation with any person or entity.

14. Unlawful Conduct

Violate any applicable law, regulation, or code of practice while using the Site.

15. Encouraging Prohibited Activities

Promote, encourage, or enable any other individual to perform any of the above activities.

Crimson has no general obligation to monitor access to or usage of the Site. However, we reserve the right to do so for operational, security or compliance reasons (including enforcing these ToS or applicable law). If we suspect any violation, we may investigate and cooperate with relevant law enforcement agencies. Crimson may take any lawful action deemed necessary to address or prevent prohibited activities, which can include removing or refusing content, suspending or terminating accounts or seeking legal remedies.

14. Third-Party Links and Resources

The Site may include links to external websites or resources. These links are provided solely as a convenience. Crimson does not endorse or control these third-party sites, nor are we liable for their content, products, or services. Your interaction with third-party resources is at your own discretion and risk.
